XML2PDF Core — Software Licence Agreement

Effective from publication

01

Seller and agreement

XML2PDF Core is supplied by ISLC s.r.o., Kotlaska 5/64, Praha 8, 180 00, Czech Republic, company registration number 25799355, VAT CZ25799355, operating under the Alt-Soft brand (“Alt-Soft”, “we”, “us”).

This Agreement governs the download, installation and use of XML2PDF Core, including its Evaluation and Commercial editions.

By purchasing, installing or using the software, the customer (“Licensee”) accepts the applicable terms of this Agreement. A person purchasing on behalf of an organization represents that they have authority to act for that organization.

02

Evaluation licence

The Evaluation edition is provided free of charge for testing, development, demonstrations and purchasing evaluation.

There is no time limit, document-count limit, registration requirement or activation key.

PDF documents generated by the Evaluation edition contain visible evaluation watermarks.

Evaluation output may be shared with colleagues, contractors and prospective customers for genuine technical evaluation, demonstrations and purchasing decisions, provided the watermarks remain visible.

The Evaluation edition may not be used to supply production documents or paid document-generation services. The Licensee must not remove, conceal or circumvent the watermark.

03

Commercial + OEM licence

Following payment of the applicable licence fee, Alt-Soft grants the Licensee a worldwide, perpetual, non-exclusive, non-transferable licence to use XML2PDF Core for internal and commercial purposes, subject to this Agreement.

One Commercial + OEM licence covers one purchasing legal entity and includes:

  • Unlimited developers and authorized contractors working on behalf of that entity.
  • Unlimited applications developed by or for that entity.
  • Unlimited installations, servers and customer deployments on supported platforms.
  • Royalty-free redistribution of unmodified compiled XML2PDF runtime components as embedded dependencies of the Licensee’s own applications.
  • Commercially distributed, hosted, SaaS and customer-branded applications.
  • Unlimited PDF generation without per-document charges.

No additional runtime, server, customer, deployment or OEM licence fees apply within this scope.

Customers receiving the Licensee’s applications may use the embedded components as part of those applications without purchasing a separate XML2PDF licence.

04

Licence boundaries

The licence belongs to the purchasing legal entity. Parent companies, subsidiaries, affiliates and independently operating third-party businesses are not automatically covered.

Contractors may use XML2PDF while working on behalf of the Licensee and subject to its control. They may not use that licence for their own independent products or other clients.

The following are not permitted without Alt-Soft’s prior written authorization:

  • Reselling, sublicensing or distributing XML2PDF as a standalone SDK, software library or developer component.
  • Offering XML2PDF itself as a separately marketed general-purpose rendering API or service, rather than as functionality embedded in the Licensee’s own application.
  • Redistributing modified XML2PDF engine assemblies.
  • Removing copyright notices or representing XML2PDF as independently developed software.
  • Circumventing Evaluation watermark restrictions.
  • Providing third parties with standalone development rights under the Licensee’s licence.

These restrictions do not prohibit normal embedding of PDF-generation functionality into the Licensee’s own software, nor restrict rights that cannot lawfully be excluded.

05

Ownership and third-party components

Alt-Soft and its licensors retain ownership of the software and its intellectual property. The Licensee receives usage and redistribution rights, not ownership of the source code.

Any third-party components distributed with XML2PDF remain subject to their applicable notices and licence conditions. Nothing in this Agreement restricts rights independently granted under such third-party licences.

06

Price, delivery and taxes

The published Commercial + OEM licence fee is USD $999, payable once, plus applicable taxes where required and disclosed at checkout.

Payment is processed through Stripe. Following confirmed payment, the Licensee receives electronic purchase confirmation and access to the Commercial package.

Download links may expire for security reasons. The Licensee may request replacement access to the version purchased, subject to reasonable purchase verification and continued entitlement.

No licence keys, activation server or recurring payment are required.

07

Versions and updates

The licence grants perpetual usage rights to the purchased software version and to updates made available to the Licensee during the first 12 months after purchase.

There is no mandatory renewal.

Updates are supplied if and when released. No particular release schedule, future functionality, framework compatibility or major version is guaranteed.

Updates released after the entitlement period may be offered under separate terms.

08

Compatibility and support

The certified release is XML2PDF Core 1.0 for .NET 10 on Windows x64. The supported platforms and features of any release are those described in its documentation.

A compatibility build for another .NET version is included with a Commercial + OEM licence at no additional cost, subject to technical feasibility. Request one by email to support@alt-soft.com with the target framework and the environment it will run in. No delivery time is promised.

Alt-Soft may provide reasonable assistance by email, but no service-level agreement, guaranteed response time, custom engineering or dedicated support plan is included unless separately agreed in writing.

09

Warranties and remedies

The software is provided on an “as available” and “as is” basis to the maximum extent permitted by applicable law.

Alt-Soft does not guarantee uninterrupted operation, error-free output, compatibility with every XSL-FO document, or suitability for requirements not expressly documented.

If a purchased package is defective, materially fails to perform documented functions, or cannot be delivered, Alt-Soft will provide an appropriate correction, replacement or refund in accordance with the Refund Policy and applicable law.

Nothing in this Agreement excludes mandatory statutory rights.

10

Limitation of liability

To the maximum extent permitted by law, Alt-Soft’s aggregate liability arising from the Commercial licence shall not exceed the amount paid for the applicable licence.

Alt-Soft is not liable for indirect or consequential losses, lost profits, lost opportunities or business interruption to the extent such exclusions are legally permitted.

These limitations do not apply to fraud, wilful misconduct, personal injury or other liabilities that cannot lawfully be excluded or limited.

11

Termination

The Commercial licence remains effective perpetually unless terminated under this Agreement.

Alt-Soft may terminate a licence for a material breach that remains unresolved 30 days after written notice, unless applicable law permits or requires a different remedy.

Following termination, the Licensee must stop new use and distribution of the software, subject to applicable law. Lawfully distributed applications supplied before termination may continue to be operated by existing end customers, except where the relevant distribution itself was unauthorized.

A full refund of the licence fee terminates the associated paid licence.

12

Changes to terms

The version of this Agreement applicable at purchase governs that purchase. Alt-Soft may update terms for future purchases without retroactively withdrawing rights already granted under a valid paid licence.

13

Governing law and disputes

This Agreement is governed by the laws of the Czech Republic.

For business customers, the competent courts in Prague have jurisdiction, subject to mandatory law.

Consumers retain any mandatory protections and jurisdiction rights applicable in their country of residence.

Eligible consumer disputes may be referred to the Czech Trade Inspection Authority through its consumer alternative-dispute-resolution procedure.
